It will also cover the closing and post-closing and review the components of closing, document exchange, money delivery between deal parties, payment of monies to lender(s), other parties (broker commission, title insurer), access devices (keys, other items) and/or arrangements for access, notices to requisite parties, components of post-closing, distribution of executed closing documents to required parties, follow up on: Discharge(s)/authorizations to discharge to be delivered/registered and delivered, Assumption or assignment agreements to be executed and delivered, outstanding documents or other deliveries that are post-closing items, preparation and delivery of reports to client(s), lender, title insurer and other required parties

- Securities – Private Placements – January 13, 2026
This session will cover from a law clerk’s perspective, the process, analysis, reporting and work involved in assisting an issuer in conducting a private placement into Canada. Topics will include private placement materials and disclosures, prospectus exemptions, registration and registration exemptions, and post-closing requirements.
