Overview
This presentation will provide a review of corporate transparency obligations applicable to federal (CBCA) and OBCA corporations. Disclosure obligations concerning individuals with significant control (ISCs) and government guidance for identifying ISCs continue to evolve and remain unclear in many areas. Key topics to be discussed include:
· How to comply with the ISC register requirements applicable to CBCA and OBCA corporations
· Exemptions from maintaining ISC registers
· Filing requirements
· Challenges in approaching ISC analysis in complex corporate structures
· ISC considerations in the context of annual maintenance and triggering transactions
· Key differences between the federal and Ontario ISC rules
